Terms of Use for Invited Users of the Novadoo Gift, Voucher and Appreciation Platform

1. Provider and Scope

These Terms of Use apply to the use of the digital gift, voucher, appreciation and redemption platforms operated by Novadoo AG, Zugerstrasse 8a, 6340 Baar, Switzerland (“Novadoo”, “we”, “us” or “our”), in particular under www.novadoo.com as well as under any related subpages, country domains, customer-specific platforms, white-label platforms, landing pages, code/link pages and digital ordering processes (“platform”).

Through the platform, invited persons, in particular customers, prospects, employees, applicants, business partners or other authorised recipients (“user”), may, on the basis of a personal code, link, QR code or other invitation, select and order a gift, a non-cash reward, a digital voucher, a gift card, an e-voucher, a PayPal credit, a bank credit or a comparable benefit.

These Terms of Use exclusively govern the use of the platform by invited users. The contractual relationship between Novadoo and the inviting company is governed by separate agreements and is not subject to these Terms of Use.

These Terms of Use apply regardless of whether the user is located in Switzerland, in a country of the European Union or in another country, unless mandatory statutory provisions of the respective country provide otherwise.

2. Role of Novadoo and the Inviting Company

Novadoo operates the platform on behalf of a company, organisation or other client (“inviting company”) and organises the digital gift, voucher or appreciation process.

As a rule, the user is given the opportunity to select a gift, voucher or other offered benefit free of charge, because the campaign is financed or enabled by the inviting company. In principle, the user does not pay Novadoo any separate remuneration for this selection.

The inviting company decides in particular who is invited to use the platform, which assortment is displayed, which budgets or value levels apply, which campaign is carried out and which content, messages or information are displayed on the platform.

The platform is often operated as a white-label solution in the design of the inviting company. For the user, the platform may therefore appear to be a platform of the inviting company, for example through logo, colours, corporate design, legal notice, data protection information or other information of the inviting company.

Novadoo may cooperate with external producers, suppliers, logistics service providers, fulfilment partners, voucher providers, card issuers, brand partners, payment service providers, technical service providers and other partners for the provision, procurement, delivery, electronic transmission, payment or redemption of gifts, vouchers and other benefits.

For vouchers, gift cards, e-vouchers, voucher codes or comparable digital benefits, Novadoo is generally not the issuer of the voucher, unless expressly stated otherwise.

Depending on the campaign, PayPal credits, bank credits or comparable payment benefits may also be offered in addition to physical gifts and digital vouchers. Such benefits are only available if they are expressly displayed in the respective assortment and can be selected by the user.

3. Authorisation to Use the Platform

The platform may only be used by users who have been invited or authorised to do so by the inviting company or by Novadoo.

Authorisation is generally granted by means of a personal or single-use code, link, QR code or other access option. The user is obliged to keep access data carefully and not to use it abusively.

Novadoo is entitled to block, reject or cancel codes, links or orders that are used abusively, used multiple times, manipulated, expired, incomplete or unauthorised.

The user is obliged to provide complete, correct and up-to-date information when placing an order.

4. Selection and Ordering Process

As a rule, no personal customer account is required to use the platform. The specific process may vary depending on the campaign, country, language, assortment, voucher provider, payment method or technical integration.

The ordering process typically takes place as follows:

  1. The user accesses the platform via an individual link, code, QR code or other invitation.
  2. The user sees a welcome page, a message from the inviting company, a selection page, a gift basket or a comparable platform page.
  3. The user selects, within the available assortment, a gift, a non-cash reward, a voucher, a PayPal credit, a bank credit or another offered benefit.
  4. Depending on the selection, the user enters the information required for processing, in particular name, email address, delivery address, desired delivery date, PayPal address, IBAN or other necessary information.
  5. The user confirms the order.
  6. The user generally receives an order or processing confirmation from Novadoo by email or via the platform.
  7. In the case of digital vouchers, the user may additionally receive a separate email from the respective voucher provider, card issuer or technical delivery service provider containing the voucher, voucher code, download link or further redemption information.
  8. In the case of PayPal or bank credits, the credit is executed by Novadoo after successful ordering and verification of the information.

By issuing the order confirmation, Novadoo accepts the order for processing. In the case of digital vouchers, the actual provision of the voucher may be carried out by an external voucher provider.

5. Assortment, Availability and Replacement

The gifts, non-cash rewards, vouchers, PayPal credits, bank credits or other benefits displayed on the platform do not constitute a permanently binding offer of availability. Assortments may vary and be adjusted depending on the campaign, inviting company, country, language, budget, target group, product availability, supplier stock, voucher provider, payment method or technical requirements.

Novadoo endeavours to display only available products, vouchers and benefits. Nevertheless, it may happen that a gift, non-cash reward, voucher or other benefit is no longer available at the time of ordering or processing, can no longer be delivered or executed, has been withdrawn by the provider, is subject to technical restrictions or cannot be provided for legal, logistical, security-related or payment-related reasons.

In such cases, Novadoo is entitled to cancel the order in whole or in part, offer an equivalent or comparable replacement, or adjust the assortment accordingly.

The user has no claim to a specific product, specific brand, specific voucher type, specific packaging, specific colour, specific design, specific version, specific provider or specific payment method, unless this has been expressly confirmed or mandatory law provides otherwise.

6. Delivery of Physical Gifts

Physical gifts and non-cash rewards are delivered to the delivery address provided by the user, provided that physical delivery is part of the respective campaign.

Delivery takes place only to countries or regions that can be selected in the respective ordering process. Delivery periods and desired delivery dates are indicative and are not guaranteed unless expressly designated as binding.

The user is obliged to provide a complete and correct delivery address. In the case of incorrect, incomplete or undeliverable addresses, Novadoo accepts no responsibility for delays, incorrect deliveries, returns, loss, additional shipping costs or non-delivery, unless Novadoo itself caused the error.

If a shipment is not collected, not accepted or returned to Novadoo or the supplier, additional costs for return shipment, redelivery, storage or handling may arise. Novadoo may make redelivery dependent on clarification of these costs.

7. Digital Vouchers, E-Vouchers and Gift Cards

Digital vouchers, e-vouchers, gift cards, voucher codes or comparable digital benefits are generally provided electronically. Depending on the provider, delivery is carried out directly by Novadoo or by an external voucher provider, card issuer, technical delivery service provider or brand partner.

Unless expressly stated otherwise, no physical delivery takes place for digital vouchers. The user receives the voucher, voucher code, download link or redemption information electronically.

The user is obliged to provide a correct and functional email address and to ensure that emails from Novadoo, the voucher provider or the relevant technical delivery service provider can be received.

Novadoo accepts no liability for delayed, failed or incorrect delivery of digital vouchers if this is due to incorrect email addresses, typing errors, full mailboxes, spam filters, firewall settings, technical settings of the recipient, blocks by the email provider or other circumstances outside Novadoo’s control.

Digital vouchers must be stored with the same care as benefits with monetary value. The user is obliged to treat voucher codes, links, PDF vouchers, access data or other digital voucher information confidentially and to protect them against unauthorised access.

Novadoo accepts no liability for vouchers, voucher codes, download links, PDF vouchers or gift cards that, after delivery, are lost, deleted, stolen, forwarded, published, copied, damaged, used without authorisation or redeemed by third parties, unless Novadoo itself caused the relevant circumstance or mandatory law provides otherwise.

8. Voucher Terms and Validity

The use, redemption and validity of a voucher are also subject to the respective terms of the voucher provider, card issuer, brand partner, merchant or relevant redemption point.

These terms may in particular regulate where and how the voucher can be redeemed, whether partial redemption is possible, how remaining balances are handled, how long the voucher is valid, which products or services are excluded, whether registration or activation is required and how support cases relating to redemption are handled.

Products or services that the user obtains directly from the voucher provider, card issuer, brand partner, merchant or redemption point by redeeming a voucher are not part of the gift process with Novadoo. Such products or services are exclusively subject to the contractual, delivery, warranty, return, redemption and data protection terms of the respective provider.

The validity period of a voucher is governed by the terms of the respective voucher provider, card issuer, brand partner or redemption point, provided that these terms are communicated transparently and are permissible under the applicable law.

Any mandatory statutory minimum validity periods, limitation periods or transparency obligations remain reserved.

9. PayPal and Bank Credits

Depending on the campaign and assortment, the user may be offered the option of selecting a PayPal credit, bank credit or comparable payment benefit instead of a physical gift or digital voucher.

Such a credit is only possible if it is expressly offered on the respective platform and selected by the user. There is no entitlement to payment, cash payout, bank credit, PayPal credit or conversion of a gift or voucher into money if such an option is not expressly provided for in the respective assortment.

For the processing of a PayPal credit, the user must provide a correct and functional PayPal address. For the processing of a bank credit, the user must provide a correct and complete IBAN and, where required, further payment information.

The user is solely responsible for ensuring that the payment details provided are complete, correct, up to date and eligible to receive payments. Novadoo accepts no liability for delays, incorrect transfers, chargebacks, loss, non-execution or other damage resulting from incorrect, incomplete, outdated or non-eligible payment details provided by the user.

PayPal and bank credits are generally executed by Novadoo within five to eight working days after successful ordering and verification of the information. This period is indicative and may be extended in particular in the event of technical issues, public holidays, bank processing times, checks, queries, incorrect information or circumstances outside Novadoo’s control.

Once the credit has been executed to the PayPal address or IBAN provided by the user, the corresponding benefit is deemed to have been fulfilled. Subsequent changes to payment details, reimbursement requests, repeated payments or redirection to another account are generally excluded, unless Novadoo itself caused the error or mandatory law provides otherwise.

10. No Cash Payout, No Voluntary Exchange and No Return Due to Personal Preference

The gifts, non-cash rewards, vouchers, gift cards, e-vouchers, PayPal credits, bank credits or comparable benefits selected via the platform are generally provided to the user free of charge as part of a campaign financed by the inviting company. In principle, the user does not pay Novadoo any separate remuneration.

A payout of the value in cash, a credit to the user, a transfer, conversion into money or any other financial compensation is excluded, unless such payment benefit is expressly offered as a selectable option in the respective assortment and has been selected by the user.

The selection and ordering of a gift, non-cash reward, digital voucher, gift card, PayPal credit, bank credit or comparable benefit is binding. A voluntary exchange, voluntary return, cancellation, subsequent change of selection or switch to another gift, another voucher or another payment method is excluded.

This applies in particular if the user would subsequently prefer another product, another brand, another voucher provider, another voucher value, another version, another colour, another flavour, another design, another variant or another payment method.

A selected voucher can therefore not subsequently be exchanged for a voucher from another provider. A selected physical gift cannot be returned or exchanged merely because the user does not like it after receipt or because the user has changed their mind. A selected PayPal or bank credit cannot subsequently be converted into a gift, voucher or another payment method.

Mandatory statutory rights in the case of defective, damaged or incorrectly delivered products remain reserved. However, a product is not considered defective merely because the user subjectively does not like it or because of minor, reasonable deviations in colour, packaging, presentation, flavour, design or version.

In justified individual cases, Novadoo may voluntarily and without acknowledging any legal obligation offer a goodwill solution. There is no entitlement to such a goodwill solution.

11. Information on Statutory Withdrawal or Return Rights

The use of the platform generally takes place as part of a gift, voucher or appreciation campaign financed by the inviting company. In principle, the user does not pay Novadoo any separate remuneration for selecting the gift, voucher or other offered benefit.

Where the user has a mandatory statutory right of withdrawal, return, warranty or other consumer right under the applicable law, such right remains reserved.

Since the gifts, vouchers and other benefits selected via the platform are generally provided to the user free of charge as part of a campaign financed by the inviting company, there is, irrespective of this, no voluntary right of return, exchange, cash payout or change.

For digital vouchers, e-vouchers, voucher codes or comparable digital benefits, provision generally takes place immediately after completion of the order or after transmission to the respective voucher provider. By confirming the order, the user agrees that digital provision may take place immediately.

For PayPal and bank credits, execution generally takes place after successful ordering and verification of the payment details provided. By confirming the order, the user agrees that Novadoo may execute the credit on the basis of the payment details provided.

Where a statutory right of withdrawal or return exists for digital benefits or payment benefits, such right may lapse or be excluded, in accordance with the applicable mandatory provisions, when provision or execution begins.

Irrespective of this, there is no entitlement to exchange, return, cash payout, repeated payment or subsequent change of selection unless a mandatory statutory right exists.

12. Product Information, Images and Complaints

Novadoo endeavours to describe gifts, non-cash rewards, vouchers and other benefits on the platform as accurately and understandably as possible.

Product images, illustrations, colours, packaging, sizes, designs, brand information, texts and other representations are for illustrative purposes only and may differ from the product actually delivered.

Minor deviations remain reserved, provided they are reasonable for the user and do not materially change the character of the selected product.

The user is obliged to inspect physical products promptly after receipt and to report obvious damage, incorrect deliveries or defects to Novadoo customer service by email at info@novadoo.com.

If a product is defective, damaged or does not correspond to the confirmed order, Novadoo will review the case and, at its discretion and taking into account statutory warranty rights as well as manufacturer or supplier terms, arrange for repair, replacement delivery, replacement reward, credit to the inviting company or another appropriate solution.

Returns may only be made after prior consultation with Novadoo or the supplier designated by Novadoo. The return address will be provided by customer service. Complaints and queries may be sent by email to info@novadoo.com.

Unagreed, freight-collect or improperly packaged returns may be rejected, unless mandatory law provides otherwise.

13. Data Protection and White-Label Platform

The Novadoo platform is generally operated on behalf of and in the design of the respective inviting company. For the user, the platform may therefore appear to be a platform of the inviting company, for example in its corporate design, with logo, legal notice, data protection information or other legal information of the inviting company.

Novadoo processes personal data as part of the respective gift, voucher or appreciation process for the technical and operational handling of the campaign. This includes in particular invitation, identification, selection, ordering, delivery, electronic transmission, support processing, abuse prevention, execution of the respective campaign and, in the case of PayPal or bank credits, the verification and execution of the payment details provided by the user.

Where the platform is operated on behalf of an inviting company, data processing by Novadoo is carried out within the framework of the contractual and data protection agreements existing with the inviting company.

The inviting company may be responsible under data protection law for certain data processing activities. Depending on the configuration of the campaign, Novadoo may act as a processor, data processor or independent controller.

The data protection provisions and legal notice of the inviting company may be integrated or linked on the respective redemption platform. These information items apply additionally and, insofar as they relate to the specific campaign and data processing by the inviting company, take precedence.

To the extent necessary for processing, personal data may be transferred to suppliers, producers, fulfilment service providers, logistics partners, voucher providers, card issuers, payment service providers, banks, technical service providers, hosting providers, email service providers or other appointed partners. Such transfer takes place only to the extent necessary for the processing of the respective order, delivery, voucher provision, credit, support handling or campaign.

Voluntary information provided by the user, in particular feedback, survey responses, ratings or interaction data, may be made available to the inviting company, provided this is intended within the scope of the respective campaign and is permissible under data protection law.

14. Platform Operation and Technical Availability

Novadoo endeavours to ensure reliable and secure operation of the platform. However, uninterrupted, error-free or permanent availability cannot be guaranteed.

Novadoo is entitled to temporarily restrict or interrupt the platform, in particular for maintenance, updates, security measures, technical issues, system changes, abuse prevention, force majeure or disruptions at external service providers.

Novadoo is not liable for disruptions, delays or outages caused by circumstances outside Novadoo’s control, in particular internet disruptions, network outages, email blocks, cyberattacks, system outages at third parties, force majeure, official measures, disruptions at voucher, payment, delivery or logistics partners, unless mandatory law provides otherwise.

15. Liability

Novadoo is liable for direct damage caused by intentional or grossly negligent conduct by Novadoo in accordance with the applicable law.

To the extent permitted by law, any further liability of Novadoo is excluded, in particular for indirect damage, consequential damage, lost profits, lost savings, data loss, reputational damage, loss of use, incorrect deliveries, delays, supplier errors, redemption problems with third parties, technical disruptions, email blocks, incorrect payment details provided by the user or abusive use of codes or vouchers by third parties.

Novadoo is not liable for products, services, redemption terms, availability, quality or performance of voucher providers, card issuers, brand partners, merchants, suppliers, producers, logistics service providers, payment service providers, banks or other third parties, unless Novadoo is responsible for their conduct.

Liability for personal injury, intentional misconduct, gross negligence and mandatory statutory liability remains reserved.

16. Intellectual Property and Permitted Use

All content, designs, texts, images, logos, trademarks, software components, databases, platform elements, concepts, processes and other components of the Novadoo platform are protected by copyright, trademark law or other rights and belong to Novadoo or the respective rights holders.

The user is granted only a limited, non-transferable and non-exclusive right to use the platform as intended within the scope of the respective invitation and campaign.

Any use beyond this, in particular reproduction, modification, publication, automated extraction, scraping, transfer, commercial use, manipulation or circumvention of technical protection measures, is prohibited.

17. Changes to the Terms of Use

Novadoo may amend these Terms of Use, in particular in the event of changes to the platform, assortment, processes, legal framework, data protection requirements, cooperation with voucher providers, payment service providers or technical processes.

For a specific order, the version of the Terms of Use available at the time of ordering shall generally apply, unless mandatory reasons require a different application.

18. Applicable Law, Mandatory Rights and Disputes

These Terms of Use are intended for the international use of the Novadoo platform, in particular by users in Switzerland, in countries of the European Union and in other countries.

These Terms of Use are governed by the law of Novadoo’s registered office, unless mandatory statutory provisions of the country in which the user has their habitual residence or in which the benefit is used as intended take precedence.

Mandatory consumer rights, warranty rights, data protection rights, transparency obligations, provisions on unfair contract terms and any statutory rights of withdrawal or return remain reserved.

No provision of these Terms of Use shall be interpreted as depriving a user of mandatory rights that cannot be excluded under the applicable law.

In the event of disputes arising from or in connection with the use of the platform, Novadoo and the user shall first endeavour to find an amicable solution through customer service.

To the extent permitted by law and in the absence of mandatory jurisdictions to the contrary, the place of jurisdiction shall be the registered office of Novadoo. Mandatory statutory places of jurisdiction, in particular in favour of consumers, remain reserved.

Where the applicable law provides for an obligation to provide information on consumer dispute resolution, the following applies: Novadoo is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

19. Customer Service and Final Provisions

In the event of questions or problems in connection with an order, delivery, digital voucher delivery, PayPal or bank credit or platform use, the user may contact Novadoo customer service:

In the event of problems with the redemption of a voucher, the customer service of the respective voucher provider, card issuer, brand partner or merchant may additionally or exclusively be responsible. In such cases, Novadoo may refer the user to the responsible office.

Should any provision of these Terms of Use be or become invalid, void or unenforceable in whole or in part, the validity of the remaining provisions shall remain unaffected.

These Terms of Use form the basis for the use of the Novadoo gift, voucher and appreciation platform by invited users.
